Profile

Jake Holly is an attorney in Foulston’s northeast Kansas transactional practice group. He handles commercial real estate transactions, mergers and acquisitions, secured and unsecured financing, business litigation, administrative law, healthcare, and general corporate work. Jake strives to provide clients with practical advice to obtain their goals in the most efficient way possible. Clients appreciate Jake for his responsiveness, customer service skills, and straightforward approach. 

Jake counsels clients on a diverse range of business issues involving contracts, property rights, corporate governance, fiduciary duties, and regulatory compliance. A significant focus of his work is related to commercial real estate matters for businesses buying, selling, leasing, and developing real estate. He negotiates purchase and sale agreements, easements, operating agreements, development agreements, and assists with various title issues. He recently represented a hospitality company in connection with the purchase of an operating hotel, a transaction valued at more than $60 million.

In addition to his transactional practice, Jake also has significant experience in litigation related to business, real estate, and administrative law. He represented a group of clients in securing a settlement of all damages they sought against an administrative agency – more than $12 million. Jake’s experiences in transactional work and litigation give him the perspective and insight to help his clients identify common problems areas that can often lead to disputes and manage or mitigate the associated risk.

Active in the Topeka community, Jake is a graduate of the Greater Topeka Partnership Leadership Topeka’s Class of 2023. He has served on the Topeka Bar Association board of directors for the past several years and is a past president of the Topeka Bar’s Young Lawyers section. Outside the office, Jake is an active Chiefs, Royals, and Jayhawks fan. He loves to stay active and is always up for a game of tennis, basketball, or a round of golf.

  • Drafted and negotiated retail leases for spaces located throughout the United States for office and retail use on behalf of tenants and landlords.
  • Represented purchaser in connection with acquisition of real estate in excess of $50 million. Drafted ancillary purchase documents, advised client on zoning and development issues, and other operating concerns.
  • Represented commercial real estate developer in the sale of multimillion dollar operating office building with several suites.
  • Drafted and negotiated purchase agreements and ancillary purchase documents for the sale and purchase of several local businesses.
  • Represented the seller in the sale of multi-million dollar food company, assisted with due diligence, advised client on potential liability concerns, drafted M&A documents, corporate consents, meeting minutes, and assisted with other closing matters.
  • Represented group of clients in a more than $10 million dispute with a government agency, drafted key pleadings, assisted with drafting and negotiation of the settlement agreement.
