Represented as lead counsel, the buyer, IMA Financial Group, one of the largest privately held insurance brokers in the U.S., in connection with the purchase of 77 year-old Waldman Bros, a Dallas-based insurance brokerage, offering commercial insurance solutions, employee benefits and high-net-worth private client insurance expertise to create the subsidiary IMA | Waldman, a Dallas-based division with nearly 70 employees. The firm’s role included negotiation and preparation of post-acquisition agreements for acquiring company and client, employee incentive packages, review and comment upon purchase and sale agreement and related transaction documents, private placement of equity securities, purchase financing, and a broad range of general business matters.
