Issaku Yamaashi, Partner
Issaku Yamaashi, a partner in Foulston Siefkin’s Kansas City office, is a business attorney who handles commercial leasing transactions, mergers and acquisitions, private placement of securities, and other corporate legal matters for clients in a range of industries. Issaku works with commercial office building owners and leasing companies, health care firms, and manufacturing businesses across the country.
For the past 16 years, Issaku’s M&A practice has included representing both buyers and sellers on numerous multimillion-dollar acquisitions and divestitures of health care facilities, banks, manufacturing plants, and other businesses. Fluent in Japanese, he also advises clients on international merger transactions.
Issaku is commercial leasing counsel for a premier office park complex in the Midwest where he represents the landlord in connection with the leases in more than 20 buildings totaling more than 2 million square feet of office space. Issaku’s broad real estate practice includes drafting and negotiating leases, including related terms, extensions, assignments, and other provisions.
A major component of Issaku’s practice is devoted to the private placement of securities in the health care industry. He has structured more than 100 offerings for medical facilities, hospitals, and health care-related real estate. Issaku counsels clients in staying compliant with federal and state securities laws, including Regulation D and other federal and state exemptions, and the preparation of private placement memorandums.
Issaku’s business and corporate law work encompasses the formation of entities, corporate restructuring, financing, and the drafting and negotiating of operating agreements, limited partnership agreements, shareholder agreements, management agreements, and service agreements.
Issaku strives to provide efficient, attentive, and cost-effective counsel to his clients. He aims to help them achieve their goals by focusing on the core legal issues at hand. Issaku’s background – he was raised in Japan and Australia and pursued his higher education in the U.S. – helps him quickly adapt to new situations and appreciate differences in language and culture. He uses these skills to help clients negotiate and transact business quickly, to the mutual benefit of all parties.
When he is not assisting clients, Issaku devotes his time to the arts. He sits on the board for InterUrban ArtHouse, an organization that strives to enrich the cultural and economic vibrancy of the Overland Park community. Active in the Kansas City music scene as a musician, he currently plays guitar with an experimental, improvisational jazz band that entertains audiences in the city and surrounding areas. Issaku loves spending time with his wife and three daughters.
